Our services are very diverse, so sometimes additional terms or service requirements may apply. Additional terms will be available with the relevant services, and those additional terms become part of your agreement with us if you use those Services.

By accessing or using our services you accept to be bound by these terms and conditions. If you do not agree to these Terms, please refrain to use our services.

You should look at the terms regularly. We may modify these terms or any additional terms that apply to a service to, for example, reflect changes to the law or changes to our Services. Any changes will be posted on this page with an updated revision date. By continuing to use our services after any changes become effective, you agree to be bound by the revised Terms. 

By accessing or using our services, you represent and warrant that you are lawfully able or have the legal authority to enter into contracts. 

Terminology 

The following terminology applies to these Terms: "User", "Client"  "You" and "Your" refer to you, the person accessing our services and accepting the Company's terms and conditions. "The company", "The Platform" "Ourselves", "Our", "We" and "Us" refer to our Company. "Party", "Parties" or "Us" refers to both the User and ourselves, or either the user or ourselves. 

Account Registration

To access certain features of our services, you may need to create an account. You agree to:

• Provide accurate, current, and complete information during the registration process.

• Maintain the security of your account and promptly notify us of any unauthorized use.

• Accept responsibility for all activities that occur under your account. You must keep the login details (login ID and password) relating to your account secure at all times. You must not sell, transfer or sublicense the login details relating to your account on the Platform to any other person.

Use of Services

You agree, undertake and declare that You have made Your own evaluation of the platform and have determined that it is suitable for Your needs.

You agree to use our services only for lawful purposes and in accordance with these terms. You agree not to: 

• Misuse our services: for example, do not interfere with or attempt to access our services using any method other than the interface and instructions we provide;

• Use our services in any manner that could damage, disable, overburden or impair our Platform or interfere with any other party's use of our services;

• Attempt to gain unauthorized access to our services, accounts, computer systems or networks connected to our services; 

• Disrupt, interfere with or otherwise damage the security of the Platform, accounts, passwords, servers or networks connected to or accessible through the Platform;

• Use automated means, such as bots, crawlers or scrapers, to access our services.

You undertake to ensure that any material/information/data you upload to the Platform is strictly of the nature and context required by the Platform for the relevant service, and that it does not breach any applicable law.

Financial Transactions

• All financial transactions conducted through our services are subject to applicable laws and regulations.

• We may impose limits on the amount and frequency of transactions you can make using our services.

• You are responsible for maintaining the confidentiality of your financial information and for all transactions made under your account.

Fees and Charges

We may charge fees for certain services. Any applicable fees will be disclosed to you prior to your use of the service. You agree to pay all fees and charges incurred in connection with your use of our services.

Intellectual Property

All content and materials available on our website and services, including but not limited to text, graphics, logos, and software, are the property of Vaultpay or its licensors and are protected by intellectual property laws. Using our Services does not give you ownership of any intellectual property rights in our Services or the content you access.

You may not use, reproduce, modify, distribute, or display any part of our website or services without our prior written consent. These terms do not grant you the right to use any branding or logos used in our Services. Don’t remove, obscure, or alter any legal notices displayed in or along with our Services.

Privacy

Your use of our services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices regarding your personal data.

Termination

We may terminate or suspend your access to our services at any time, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use our services will immediately cease.

Disclaimer of Warranties

Our services are provided "as is" and "as available" without any warranties of any kind, either express or implied. We do not warrant that our services will be uninterrupted, error-free, or secure.

Limitation of Liability

To the maximum extent permitted by law, Vaultpay shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of reputation, profits, data, use, or goodwill, arising out of or in connection with your use of our services.

• Any damage resulting from information provided by the Customer but not received by Vaultpay or any Counterparty or not received promptly or appropriately, due to technical failures of the Platform (whether or not under Vaultpay's control) ;

• Any loss or damage caused by bugs, viruses, worms, malware, spyware or similar programs that may infect the Client’s computer, software, data or other property as a result of accessing or using the Platform or using the Services, or as a result of e-mails, communications or attachments received from Vaultpay ;

• Any failure or delay in performance of any obligation or service by Vaultpay or any Counterparty due to force majeure or events beyond Vaultpay's reasonable control;

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Democratic Republic of the Congo (DRC). Any disputes arising out of or related to these Terms shall be subject to prior amicable settlement between the Parties.

Failing amicable settlement within thirty (30) days of receipt by one of the Parties of the other Party's written request for amicable settlement, the dispute shall be submitted to the courts of DRC.
